1. Acceptance of Terms

By accessing or using the helpIQ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

helpIQ provides an AI-powered chatbot platform that allows businesses to create, train, and deploy custom chatbots based on their own content. Features include chatbot training from websites, documents and text, lead capture, human escalation, analytics, and integrations with third-party tools.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@helpiq.ai of any unauthorized use of your account.

You must be at least 16 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscription and Billing

helpIQ offers subscription-based plans with a free trial period. After the trial, continued use requires a paid subscription. All fees are billed in advance on a monthly or annual basis and are non-refundable except where required by law.

• You may cancel your subscription at any time from your account dashboard.
• Cancellation takes effect at the end of the current billing period.
• We reserve the right to modify pricing with 30 days' advance notice.
• Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload or transmit harmful, illegal, defamatory, or offensive content
• Infringe upon the intellectual property rights of others
• Distribute spam, malware, or phishing content through your chatbot
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service
• Resell or sublicense access to the Service without prior written consent

We reserve the right to suspend or terminate accounts that violate these usage policies without notice.

6. Your Content

You retain full ownership of all content you upload to train your chatbot ("Your Content"). By uploading content, you grant helpIQ a limited, non-exclusive, royalty-free license to process and use that content solely for the purpose of providing the Service to you.

You are solely responsible for ensuring you have the rights to upload and use all content you provide. Your Content is never shared with other customers or used to train shared AI models.

7. Intellectual Property

The Service, including all software, algorithms, designs, text, and graphics, is owned by helpIQ and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without prior written permission.

8. Third-Party Services and Integrations

helpIQ may integrate with third-party platforms (e.g., CRMs, help desks, email tools). These integrations are governed by the respective third-party terms and privacy policies. We are not responsible for the practices of any third-party services.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated responses may occasionally be inaccurate; you are responsible for reviewing and validating chatbot outputs.

10. Limitation of Liability

To the maximum extent permitted by law, helpIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless helpIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Termination

Either party may terminate the agreement at any time. You may cancel your account through the dashboard. We may suspend or terminate your access immediately if you violate these Terms, with or without prior notice. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our retention policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction, as mutually agreed. You waive any right to participate in class-action lawsuits against helpIQ.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or a prominent notice on our website. Your continued use of the Service after changes take effect constitutes your acceptance of the new Terms.
